The Corporation of Havering College of Further and Higher Education publish the following draft resolution in respect of the proposed merger with New City College in accordance with the requirements of Article 26(2) of Havering College of Further and Higher Education’s Instrument and Articles of Government.
NOTICE is hereby given that the Corporation of Havering College of Further and Higher Education intends to make a resolution on 28 March 2019 dissolving the Corporation of Havering College of Further and Higher Education on 01 April 2019* and immediately prior to dissolution transferring its assets, rights and liabilities to New City College. The draft resolution is as follows:
DRAFT RESOLUTION OF THE CORPORATION OF HAVERING COLLEGE OF FURTHER AND HIGHER EDUCATION APPROVED ON 07 FEBRUARY 2019:
The Corporation having considered the following:
- The approval of publication of the results of the statutory consultation exercise undertaken by the Corporations of Havering Sixth Form College and Havering College of Further and Higher Education (as required under The Further Education Corporations (Publication of Proposals) (England) Regulations 2012);
- The carrying out of legal and financial due diligence in respect of Havering Sixth Form College and New City College; and
- Agreeing the publication of the draft resolution of the Corporation to dissolve and provide for the transfer of its assets, rights and liabilities (as required under Havering College Of Further and Higher Education’s Articles of Association), and as formally notified to the ESFA.
- The confirmation from the Corporation of New City College that it has agreed to accept the transfer of all assets, rights and liabilities of Havering College of Further and Higher Education.
The Havering College of Further & Higher Education (HCFHE) Corporation hereby RESOLVES to merge with the Corporation of New City College (NCC) with effect from 1st April 2019. The HCFHE Corporation will dissolve at 00:01 on 1st April 2019, and its assets, rights and liabilities transferring to the NCC Further Education Corporation immediately prior to dissolution.
*This Notice is published on the basis of the intention of the two colleges to merge on 01 April 2019 although there is a possibility that this date may be subject to change to a later date.
